1. Acceptance of Terms

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement.

2. Description of Service

Grishya is a learning community and content platform that enables:

• Users to create and join learning communities (Spaces)
• Providers to publish and sell educational content (Offerings)
• Members to engage in discussions, share resources, and collaborate
• Learners to access videos, notes, files, and other educational materials
• Instructors to host live events and workshops

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. User Content

You retain ownership of content you create and upload to the Service ("User Content"). By posting User Content, you grant Grishya a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and providing the Service.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not infringe any third-party rights
• Your User Content complies with these Terms and applicable laws

We do not endorse User Content and are not responsible for its accuracy, completeness, or legality. We reserve the right to remove any User Content that violates these Terms.

5. Provider Terms

If you provide and sell Offerings on Grishya, you agree to:

• Provide accurate descriptions of your Offerings
• Deliver the content and services as described
• Respond to learner questions in a timely manner
• Comply with all applicable laws regarding content creation and sales
• Not engage in misleading or deceptive practices

Grishya charges a platform fee on each transaction. The current fee structure is available on our pricing page. We reserve the right to modify fees with reasonable notice.

Provider payouts are processed according to our payout schedule. You are responsible for any applicable taxes on your earnings.

6. Payments and Refunds

When you purchase an Offering or subscription:

• You agree to pay all applicable fees and taxes
• Payment is processed through our third-party payment providers
• Prices are subject to change with notice
• Subscriptions auto-renew unless cancelled before the renewal date

Refund Policy: Refund eligibility depends on the specific Offering and Provider policies. Generally, refund requests must be made within 7 days of purchase if you have not substantially accessed the content.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Shodash Labs Inc and are protected by international copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute our proprietary content
• Use our trademarks without prior written permission
• Reverse engineer or attempt to extract source code
• Remove any copyright or proprietary notices

8. Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Post harmful, offensive, or inappropriate content
• Harass, abuse, or threaten other users
• Impersonate any person or entity
• Spam or send unsolicited communications
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Use automated systems to access the Service without permission
• Download, copy, or redistribute content without authorization

9. Third-Party Services

The Service may contain links to or integrate with third-party websites, services, or content. We do not control and are not responsible for third-party services. Your use of third-party services is at your own risk and subject to their terms and policies.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

We do not guarantee the accuracy, completeness, or usefulness of any content on the Service, including User Content and Offerings.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHODASH LABS INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Shodash Labs Inc and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, your User Content, or your violation of these Terms.

13. Termination

You may terminate your account at any time by contacting us or using the account settings. We may terminate or suspend your account at any time for any reason, including violation of these Terms.

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
